Board Member Recall Process
Recall Meeting Saturday

A Bent Tree Community Inc. meeting will be held Saturday on petitions submitted to recall three Board of Directors members. The meeting will begin at 10 a.m. in the Recreation Room at Club Tamarack.

Petitions were submitted to recall board members Laird Carmichael, Gary Pyott, and David Stone. It is important to note that parking at Club Tamarack may be severely limited and residents planning on attending are encouraged to carpool or use golf carts.  Public Safety personnel will be on hand to direct traffic.

Here, briefly, is how the process will work. As residents arrive they must report to Administration staff to verify that they are registered BTCI members. No onsite registration will be permitted.
Members arriving with proxies will submit the proxies, and staff must verify that the proxies are from members. Attendees will be given a ballot for themselves (one per household) and one for each verified proxy.  Obviously, this will be a time-consuming process. Staff will be on-site at 9 a.m. so please plan to arrive early.

The meeting will be conducted in strict accordance with BTCI governing documents and Roberts Rules. The board president will briefly explain the process. This includes the importance of two provisions.

First, Article II, Section 5 of the Bylaws requires 100 verified members and proxies to conduct a meeting. If that total is met the second key provision is Article II-A, Section 3 of the Bylaws which requires “a majority of Corporation Members” to vote to remove board members. That means there must be 520 votes in favor of recalling any of the board members.

If there are that many potential votes, via attendance or proxies, then a vote on the recall will proceed. If there are not 520 potential votes then the recalls are defeated and the meeting will be adjourned.

If the recall proceeds the audience will be asked to mark each of their ballots which will be collected and counted. It is highly likely that the meeting will be recessed for a short period of time while the votes are tabulated.

Once the meeting is reconvened the results will be announced. If any board members are recalled nominations would then be taken for replacements, ballots would again be distributed, marked, returned and tabulated. There would be separate votes for each recalled candidate.
Those elected would take office immediately.

If the meeting continues each of the board members in question will be given 5 minutes to respond, in accordance with Article 111-A Section 5 of the Bylaws. Community members will not be allowed to speak.
